Affiliate Contract with display area – 2/2025

This Affiliate Agreement (“Agreement”) is entered into as of [Start Date], by and between Custom2You.com (“Company”), a brand operated by Business Mentoring Group FZCO in the UAE, and [Affiliate Name] (“Affiliate”), collectively referred to as the “Parties.”

 

  1. Purpose

The purpose of this Agreement is to outline the terms and conditions under which the Affiliate will promote the sales of customized bags designed and sold by Custom2You.com to corporate clients and through their social media network within the UAE.

 

  1. Term and Termination

2.1. This Agreement is valid for one (1) year, starting on [Start Date] and ending on [End Date].

2.2. Either Party may terminate this Agreement at any time with 60 days’ written notice.

2.3. This Agreement may be renewed by mutual agreement, provided that notice of renewal is given at least 60 days before the end date.

 

  1. Company Responsibilities

The Company agrees to provide the following support to the Affiliate:

  • A bag demo kit for presentations.
  • A copy of the Terms & Conditions applicable to the Affiliate’s sales.
  • Optional business cards featuring the Affiliate’s name and a QR code linking to the website and the Affiliate’s unique code.
  • Access to a software tool with an affiliate booking code to track sales results.
  • Training on how to sell and market customized bags.
  • A configurator tool on the website for designing bags with customers.
  • Coaching sessions for the Affiliate and their team with the Company’s representatives to enhance performance and introduce new products or components.
  • Support in client meetings or promotions, including potential direct participation by a Company representative.

 

  1. Affiliate Responsibilities

The Affiliate agrees to:

  • Provide Custom2You with a copy of their business license, including visa details (if applicable), TAX number, store location, bank details, and a list of employees to be trained by Custom2You, along with a designated point of contact.
  • Display Custom2You products in their social media activities and/or showroom.
  • Actively promote and sell customized bags to their clients and through their social media network.
  • Declare that they have the right to promote and sell Custom2You products to clients, club members, associate members, customers, and social media followers.
  • Obtain approval from their visa sponsor or, in the case of a company, from management to sell and promote Custom2You products under this contract.
  • Grant Custom2You the right to use their logo on bags configured through the Custom2You configurator and sold within their client base, membership, or social media network to complete client orders.
  • Train their team on how to use the website, configurator, and best practices for selling Custom2You products.
  • Adhere to the Company’s sales and marketing guidelines provided during training.
  • Participate in coaching sessions to enhance sales performance.

 

  1. Compensation

5.1. The Affiliate will earn an X% commission on all sales made through their efforts, tracked via affiliate booking codes or logo usage.

5.2. Commissions will be calculated based on the net sales amount (exclusive of taxes, discounts, and returns).

5.3. Payments will be made [monthly/quarterly] upon submission of a sales report, subject to the Company’s verification.

5.4. A quarterly bonus (End-of-Quarter Bonus, this bonus is based on the net sales excluding discounts, commissions and promo code deductions ) will be added to the commissions paid on a monthly basis, as follows:

  • Below 30 bags sold within a quarter → X% bonus
  • 30-50 bags sold within a quarter → X% bonus
  • 51-100 bags sold within a quarter → X% bonus
  • Above 100 bags sold within a quarter → X% bonus

 

  1. Use of Marketing Material and Media

6.1. The Company reserves the right to use photos, screenshots of the configurator, and images of the bags, as well as pictures taken with the bags, for social media and website marketing.

6.2. The Affiliate agrees to obtain client consent before sharing any media with the Company, where applicable.

 

  1. Confidentiality

The Affiliate agrees to maintain the confidentiality of all proprietary and sensitive information provided by the Company, including customer lists, pricing, and sales tools.

 

  1. Compliance and Conduct

The Affiliate agrees to:

  • Represent the Company’s brand professionally and ethically at all times.
  • Ensure compliance with UAE business regulations and laws.
  • Immediately notify the Company of any client issues or disputes.

 

 

  1. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes any prior discussions, agreements, or understandings. Any modifications must be made in writing and signed and sealed by both Parties.

 

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the UAE. Any disputes arising under this Agreement shall be resolved in the competent courts of the UAE.
