Affiliate Contract w/o outlet
This Affiliate Agreement (“Agreement”) is entered into as of [Start Date], by and between Custom2You.com (“Company”), a brand operated by Business Mentoring Group FZCO in the UAE, and [Affiliate Name] (“Affiliate”), collectively referred to as the “Parties.”
- Purpose
The purpose of this Agreement is to outline the terms and conditions under which the Affiliate will promote the sales of customized bags designed and sold by Custom2You.com to corporate clients and his social media network within the UAE.
- Term and Termination
2.1. This Agreement is valid for one year, starting on [Start Date] and ending on [End Date].
2.2. Either Party may terminate this Agreement at any time with 60 days’ written notice.
2.3. This Agreement may be renewed by mutual agreement if notice of renewal is provided at least 60 days before the end date.
- Company Responsibilities
The Company agrees to provide the following to support the Affiliate:
- A bag demo kit for presentations.
- Optional: Business cards with the name of the Affiliate and a QR code to the website and the Affiliate code branded custom2you
- Access to a software tool on the website with an affiliate booking code to track sales results.
- Training on how to sell and market the customized bags.
- A configurator tool as part of the website to design bags with customers.
- Coaching sessions with the Company’s representative to improve performance and to lounge new products or components.
- Support in client meetings or promotions, as needed, including potential direct participation by the representative.
- Affiliate Responsibilities
The Affiliate agrees to:
- Actively promote and sell the customized bags to his clients and within his social media network.
- Share contact details of corporate clients, including a designated contact person, to enable the Company to create customer records in its accounting system for invoicing and collection.
- Abide by the Company’s sales and marketing guidelines as provided during training.
- Participate in coaching meetings to enhance sales performance.
- Obtain prior approval from the Company’s management for any discounts offered to clients.
- Commission
5.1. The Affiliate will earn a commission of (x%) on all sales made through their efforts, tracked using the affiliate booking codes. The Affiliate booking code is XXXXX.
5.2. Commissions will be calculated based on the net sales amount (exclusive of taxes, discounts, and returns).
5.3. Payments will be made [monthly/quarterly] upon submission of a sales report, subject to the Company’s verification.
- Use of Marketing Material and Media
6.1. The Company reserves the right to use photos and images of the bags, as well as pictures taken with the bags, for social media purposes and the Company website.
6.2. The Affiliate agrees to obtain consent from clients for any media shared with the Company, where applicable.
- Confidentiality
The Affiliate agrees to maintain the confidentiality of all proprietary and sensitive information provided by the Company, including customer lists, pricing, and sales tools.
- Compliance and Conduct
The Affiliate agrees to:
- Represent the Company’s brand professionally and ethically at all times.
- Ensure compliance with UAE business regulations and laws.
- Immediately notify the Company of any issues or disputes with clients.
- Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes any prior discussions, agreements, or understandings. Modifications to this Agreement must be made in writing and signed by both Parties.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the UAE. Any disputes arising under this Agreement shall be resolved in the competent courts of the UAE.
